Why now
Santos will buy another 3.3% from TotalEnergies as ExxonMobil takes operatorship, after project capex was cut to about $14 billion ahead of a targeted fourth-quarter investment decision.
Key points
- Santos agreed to pay about $189 million for an additional 3.3%, lifting its interest to 21% after state back-in. - ExxonMobil will take operatorship as TotalEnergies reduces its stake to 20%. - The project targets 5.6 mtpa and has cut estimated capex by $4 billion to around $14 billion.
The numbers
| Metric | Value | Context | |---|---:|---| | Santos purchase | $189m | Additional 3.3% | | Santos stake | 21% | Post state back-in | | Santos LNG share | ~1.2 mtpa | About 19% increase | | Project output | 5.6 mtpa | Planned LNG | | Revised capex | ~$14bn | Down $4bn | | Target FID | Q4 2026 | Not yet approved |
What happened
Santos signed a binding agreement to acquire another 3.3% of Papua LNG from TotalEnergies for about $189 million, lifting its interest to 21% after the Papua New Guinea state’s back-in rights. Santos estimates its equity LNG output from the project will rise about 19% to roughly 1.2 million tonnes a year. [S1, S2] The wider reshuffle cuts TotalEnergies’ interest from 29.1% to 20% and transfers operatorship to ExxonMobil, whose position increases. Partners have completed EPC tendering and say contractual milestones now support a targeted final investment decision in the fourth quarter of 2026. Project capex has been reduced by about $4 billion to roughly $14 billion. [S2, S3]
What everyone is watching
The final investment decision is still the gate. A binding stake agreement does not mean construction is approved; regulatory consents, financing, co-venturer endorsement and commercial conditions must close. Santos’s purchase is itself conditional on the project reaching FID. The second test is whether Exxon’s operatorship creates real savings. Running Papua LNG near Exxon-operated PNG LNG may simplify upstream and midstream execution, procurement and operating systems, but integration benefits must survive local infrastructure and social constraints.
The overlooked PriceVia angle
PriceVia analysis: the most powerful number may be the $4 billion capex reduction. At 5.6 mtpa, lower upfront cost can materially improve breakeven economics and financing capacity. But investors should ask what changed—design, scope, contractor pricing or shared infrastructure—because each has different execution consequences. For Santos, $189 million buys more future LNG exposure just as Barossa gas and Pikka oil move toward operations. That sequence could support funding, yet Papua LNG becomes the next major call on capital. Portfolio timing matters as much as resource quality.
Positive scenario
FID arrives in Q4, the revised budget holds and Exxon captures synergies with PNG LNG. Long-life supply into Asian markets generates attractive cash flow, while Santos’s larger stake improves growth per dollar invested.
Risk scenario
FID slips again, costs re-escalate or regulatory and community issues slow construction. Weak LNG prices or competing supply can reduce expected returns before first production, leaving partners with stranded development spending.
What would change the story
Watch the formal FID, final partner stakes, EPC contract awards, financing, government approvals, updated schedule, breakeven assumptions and offtake agreements. Any movement above the $14 billion budget would materially alter valuation.
